Terms of Service

1. Acceptance of Terms

By accessing or using the MySouxChef platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and MySouxChef LLC, a Texas limited liability company (“Company,” “we,” “us”).

2. Description of Service

MySouxChef provides an AI-powered inventory management platform for food service businesses. The Service includes AI-based image scanning and item recognition, inventory counting and weight estimation, invoice processing and digitization, product catalog management, Google Sheets and Excel integration, and team collaboration tools.

3. Account Registration & Responsibilities

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old to use the Service. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription & Billing

The Service offers a 14-day free trial requiring no credit card. After the trial, paid plans are available: Starter at $49/month and Pro at $99/month. All payments are processed through Stripe. Subscriptions renew automatically unless canceled before the renewal date. Refunds are handled on a case-by-case basis at our discretion. We reserve the right to change pricing with 30 days’ notice.

5. Intellectual Property

All AI algorithms, prompt engineering techniques, correction learning systems, fuzzy matching logic, scanning pipeline technology, and associated software comprising the Service are trade secrets and proprietary property of MySouxChef LLC. All rights are reserved.

User correction data (e.g., edits to AI scan results) submitted through the Service becomes the property of MySouxChef LLC and may be used to improve the Service, including AI model training and accuracy enhancement.

You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data models underlying the Service. You shall not extract, scrape, or systematically collect AI outputs for the purpose of building a competing product or service.

You retain full ownership of your inventory data, images, business information, and any content you upload to the Service that does not constitute correction data as described above.

6. User Content & Data License

By using the Service, you grant MySouxChef LLC a limited, non-exclusive license to process your uploaded images, inventory data, and invoice documents solely for the purpose of delivering the Service to you. This license terminates when you delete your account or the relevant data.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload malicious content, viruses, or harmful code
  • Use automated means to access the Service beyond provided APIs
  • Resell, sublicense, or share your account access with third parties
  • Use the Service to develop a competing product

8. Third-Party Services

The Service integrates with third-party providers including Supabase (database and authentication), Stripe (payment processing), Anthropic (AI processing), Google (OAuth and Sheets integration), Resend (transactional email), and Vercel (hosting). Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party service availability or practices.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service is provided “as is” and “as available” without any SLA guarantee. We may perform maintenance, updates, or modifications that temporarily affect availability.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYSOUXCHEF LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AGGREGATE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless MySouxChef LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

13. Mandatory Arbitration & Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the State of Texas.

CLASS ACTION WAIVER: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only, and not as a class action, collective action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against MySouxChef LLC.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may terminate your account at any time through the account settings. Upon termination, your right to use the Service ceases immediately, and we may delete your data in accordance with our Privacy Policy.

15. Modification of Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the version number and require re-acceptance before you can continue using the Service. Your continued use of the Service after accepting updated Terms constitutes agreement to the modified Terms.
